1. Scope of Services

OhkaStudio provides an all-inclusive, fully managed web design, development, hosting, and maintenance subscription service tailored for restaurants. The scope of your subscription includes:

• Bespoke website design and development.
• Managed cloud hosting and domain registration/renewal (subject to Section 4).
• Domain-specific email infrastructure.
• On-demand, unlimited content updates (subject to Section 5).
• Continuous maintenance, security monitoring, and automated backups.
• Integrated reservation and digital menu management systems.

2. Subscription Model & Billing

• Fees: Services are billed on a recurring monthly subscription basis at the rate specified during signup (e.g., $89/month).
• Payment Authorization: By providing a payment method, you authorize OhkaStudio to automatically charge the recurring subscription fee on your billing cycle date until the subscription is officially canceled.
• Late Payments: Failure to clear recurring invoices within seven (7) business days of the due date may result in a temporary suspension of your website, hosting services, and platform access.

3. Contract Duration & Cancellation Policy

• Month-to-Month: Unless specified otherwise in a separate signed agreement, subscriptions operate on a flexible month-to-month basis with no long-term lock-in contracts.
• Cancellation Notice: You may cancel your subscription at any time. To prevent the next automated billing cycle, cancellation requests must be submitted at least five (5) business days prior to your next renewal date.
• Post-Cancellation: Upon cancellation, your subscription will remain active until the end of the current paid billing period. At the end of that period, your website hosting will be terminated, and the live website will be taken offline.

4. Domain Ownership & Hosting

• Domain Registration: If OhkaStudio registers a domain name on your behalf, the domain remains the property of OhkaStudio during an active subscription.
• Domain Transfer: If you wish to cancel your service and keep the domain name, it can be transferred to your personal registrar account, provided your subscription accounts are fully paid and in good standing.
• Hosting Exclusivity: To guarantee our performance, loading speed, and security standards, all websites built by OhkaStudio must be hosted exclusively on our managed server infrastructure. We do not transfer raw source code, custom themes, or database files to external hosting providers.

5. Fair Use Policy for Unlimited Updates

• Included Content Changes: "Unlimited updates" covers standard modifications to existing text, imagery, menu items, operating hours, and basic promotional elements on your active web pages.
• Excluded Dynamic Alterations: This policy does not apply to entirely new custom application development, structural website overhauls, or extensive graphic design projects requested mid-subscription. OhkaStudio reserves the right to evaluate and categorize scope requests and provide separate project quotes for assets outside standard content management.

6. Intellectual Property & Code Proprietary Rights

• Client Assets: You retain all intellectual property rights to the branding materials, logos, imagery, original text, menu data, and specific media you provide to us for implementation.
• Proprietary Core & Code: OhkaStudio retains all intellectual property rights, titles, and ownership over the underlying application architecture, proprietary booking mechanics, custom engine source code, and layout code framework utilized to build and maintain the platform.

7. Limitation of Liability & Service Uptime

• Service Availability: While we deploy enterprise-grade infrastructure to target a 99.9% website uptime, OhkaStudio cannot be held liable for temporary, unexpected service disruptions caused by third-party upstream providers, domain registrars, internet infrastructure outrages, or scheduled security maintenance.
• Business Indemnity: OhkaStudio provides tools to streamline bookings and operations but is not responsible for any lost restaurant revenue, unfulfilled guest reservations, data inaccuracies introduced by user manual entry, or indirect financial damages arising from website downtime.

8. Modifications to Terms

OhkaStudio reserves the right to modify or replace these Terms and Conditions at any time. If a revision is material, we will provide at least thirty (30) days' notice via email prior to any new terms taking effect. Continued utilization of our platform and active subscription following the effective date constitutes acceptance of the revised terms.
